These Terms & Conditions (“Terms”) govern all use of the Radnostix website and all quotations, sales, and shipments of products by Radnostix (“Company,” “we,” “our,” or “us”). By accessing this website or submitting a Request for Quote (“RFQ”), you agree to these Terms.
1. Business Use Only
Radnostix products are intended solely for:

Licensed institutions

Qualified professionals
-
Research, calibration, quality control, and medical or industrial use
Products are not intended for consumer purchase or personal use.
By submitting an RFQ, you represent that you are authorized to act on behalf of a legitimate business or institution.
2. Quote-Only Sales Model
The website functions as a product catalog only.

Submission of an RFQ does not constitute an order.

No contract is formed until Company issues a written quotation and the quotation is accepted in writing by the customer.

Company reserves the right to refuse any RFQ or order at its sole discretion.
All quotations:

Are valid only for the period stated

Are subject to change or withdrawal prior to acceptance

Are subject to product availability and regulatory approval
3. Product Information & Suitability
All product descriptions, specifications, regulatory references, and compatibility information are provided for general informational purposes only.
Customer is solely responsible for:

Determining product suitability
-
Verifying regulatory compliance
-
Ensuring compatibility with intended systems
Company makes no guarantee that products meet specific regulatory requirements in the customer’s jurisdiction unless expressly stated in writing.
Specifications are subject to change without notice.
4. Regulatory Compliance & Licensing
Certain products may include radioactive materials, radiation sources, calibration standards, or other regulated components.
Customer represents and warrants that it:

Holds all required federal, state, local, and international licenses

Is authorized to possess and use regulated materials
-
Will comply with all applicable laws, including NRC, Agreement State, DOE, FDA, and international regulations
Company may require proof of licensing prior to shipment.
Company reserves the right to cancel or suspend orders if compliance documentation is incomplete or insufficient.
5. Export Compliance (Radioactive & Regulated Products)
Products may be subject to:

U.S. Export Administration Regulations (EAR)
-
International Traffic in Arms Regulations (ITAR)
-
U.S. Nuclear Regulatory Commission (NRC) export rules
-
U.S. Department of Energy regulations
-
International nuclear non-proliferation controls
-
Customs and import laws of destination countries
Customer agrees that it will not:

Export, re-export, transfer, or resell products in violation of applicable export laws
-
Ship products to embargoed countries
-
Provide products to restricted or denied parties
-
Use products for nuclear weapons, missile, military, or prohibited end uses
Customer is responsible for:
-
Obtaining any required import licenses
-
Providing accurate end-use and end-user documentation
-
Ensuring lawful handling and transfer within its jurisdiction
Company reserves the right to:

Refuse international shipment
-
Require export classification documentation
-
Cancel any order that presents compliance risk
The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply.
6. Pricing, Taxes & Payment
Prices are provided only in formal written quotations.
Unless otherwise stated:

Prices exclude taxes, duties, customs fees, insurance, shipping, and regulatory charges.

Customer is responsible for all applicable taxes and import fees.
Payment terms are as stated in the quotation or invoice. Late payments may accrue interest at the maximum rate permitted by law.
7. Shipping, Delivery & Risk of Loss
Delivery dates are estimates only.
Company is not liable for delays caused by:

Regulatory approvals
-
Licensing delays
-
Carrier interruptions
-
Customs processing
-
Force majeure events
Risk of loss transfers in accordance with the shipping terms stated in the quotation (e.g., FOB, EXW, etc.).
Customer is responsible for proper receipt and regulatory intake procedures.
8. Returns & Cancellations
Due to the specialized and regulated nature of products:

Returns may be prohibited.
-
Radioactive materials are generally non-returnable.
-
Custom or special-order items are non-cancelable.
If returns are permitted, they require prior written authorization and may be subject to restocking or handling fees.
9. Limited Warranty
Company warrants products only as expressly stated in the applicable quotation or accompanying documentation.
Except as expressly provided:

Products are provided “AS IS.”
-
All implied warranties, including merchantability and fitness for a particular purpose, are disclaimed to the fullest extent permitted by law.
Warranty claims must be submitted in writing within the stated warranty period.
10. Limitation of Liability
To the maximum extent permitted by law:
Company shall not be liable for:

Indirect, incidental, special, punitive, or consequential damages

Loss of profits or revenue
-
Business interruption
-
Regulatory penalties
-
Improper handling or misuse
Company’s total cumulative liability shall not exceed the amount paid for the specific product giving rise to the claim.
11. Indemnification
Customer agrees to indemnify and hold harmless Company from any claims, damages, penalties, or liabilities arising from:

Misuse of products
-
Regulatory violations
-
Improper storage or disposal
-
Unauthorized export or transfer
12. Intellectual Property
All website content, product descriptions, documentation, and materials are the exclusive property of Company and may not be copied or distributed without written consent.
13. Force Majeure
Company shall not be liable for failure or delay in performance due to events beyond its reasonable control, including but not limited to:

Government action
-
Regulatory suspension
-
Supply chain interruption
-
Natural disasters
-
Labor disputes
14. Governing Law & Jurisdiction
These Terms shall be governed by and interpreted in accordance with the laws of the State of Texas, United States, without regard to its conflict of law principles.
Any dispute arising out of or relating to these Terms or the sale of products shall be resolved exclusively in the state or federal courts located in the State of Texas, and the parties consent to the personal jurisdiction of such courts.
The United Nations Convention on Contracts for the International Sale of Goods (CISG) shall not apply.
15. Modifications
Company may update these Terms at any time. Continued use of the website constitutes acceptance of revised Terms.
